              MINUTES OF A JOINT MEETING OF THE 
              BOARD OF VISITORS OF 
         VIRGINIA COMMONWEALTH UNIVERSITY 
                   AND THE 
              BOARD OF DIRECTORS OF 
        THE VIRGINIA COMMONWEALTH UNIVERSITY 
             HEALTH SYSTEM AUTHORITY 
                  May 19, 2005


   A Joint Meeting of the Board of Visitors of Virginia Commonwealth University and the 
Board of Directors of the Virginia Commonwealth University Health System Authority, with 
each meeting separately in accordance with applicable provisions of law, was held on Thursday,
May 19, 2005, in the Richmond Salons 3 and 4 located on the second floor of the University 
Student Commons at 907 Floyd Avenue.
   Members of the Board of Visitors in attendance were Drs. Bersoff, Broaddus, Romano, 
and Shapiro; Messrs. Jackson, Robertson, Rosenthal, and Sherman; and Mesdames Rhodes and 
Riddick. Messrs. Axselle, Baldacci, Doswell, Slater, Snead and Thompson were absent. 
Members of the VCU Health System Board of Directors in attendance were Drs. Trani (President 
and Chair), Bersoff, Retchin, Romano; Delegate Dwight Jones; and Messrs. Rosenthal and 
Teefey. Drs. Buckley, Johnson and Ward were absent. Also present were Drs. Laver, Lewis, 
Macrina, Silverman, and Zuelzer; Messrs. Bunce, Duval, Gattuso, Gehring, Potyraj, Puleo, Ross 
and Timmreck; and Mesdames Balmer, Lepley, Lightfoot, Messmer and Reed.
   Dr. Trani called the joint meeting to order and welcomed members of the press. Mr. 
Gary Robertson and Ms. Tammie Smith of the Richmond Times-Dispatch were present.
   The Minutes of a Joint Meeting held May 20, 2004, were presented. The minutes stand 
as approved by individual meetings of the Board of Visitors and the VCU Health System Board 
of Directors.
   Dr. Trani discussed the State of the University and the Health System. Vice Presidents 
Dr. Steve Gottfredson, Provost and Vice President for Academic Affairs, Dr. Frank Macrina, 
Vice President for Research, and Dr. Sheldon Retchin, Vice President for Health Sciences and
CEO of the VCU Health System, presented a powerpoint presentation for information. Dr. 
Gottfredson updated the Board on the strategic plan and VCU's outstanding students and faculty. 
Dr. Macrina discussed the research activities of the University, and Dr. Retchin gave an overview
of the Health System.
    The meeting was adjourned at 8:15 p.m.
