VIRGINIA COMMONWEALTH UNIVERSITY AND THE
BOARD OF DIRECTORS OF
THE VIRGINIA COMMONWEALTH UNIVERSITY
HEALTH SYSTEM AUTHORITY
May 15, 2003
A Joint Meeting of the Board of Visitors of Virginia Commonwealth University
and the Board of Directors of the Virginia Commonwealth University Health System
Authority, with each meeting separately in accordance with applicable provisions of law,
was held on Thursday, May 15, 2003, at 5:30 p.m. in the Paul Gross Conference Center,
MCV Alumni House, at 1016 E. Clay Street.
Members of the Board of Visitors in attendance were Drs. Perkinson (Rector),
Bersoff, Long and Romano; Messrs. Markel, Plymale, Pyon, Rigsby, Rosenthal and
Thompson; and Mesdames McMichael, Petera and Riddick. Absent were Messrs;
Axselle, Baldacci and Slater. Members of the VCU Health System Board of Directors in
attendance were Drs. Trani (President and Chair), Buckley, Dalton, Kontos, Long,
Nettleman, and Perkinson; Messrs. Forrest, Markel, Rigsby and Teefey; Mrs. Petera; and
Delegate O'Bannon. Absent were Drs. Cardea, Merrell, Rossiter and Ward; Delegates
Dwight and S. Chris Jones; and Senators Bolling and Lambert. Also present were Drs.
McDavis, Newsome, Retchin and Torr; Messrs. Gehring, Gleason, Irigaray, Johnson,
Puleo, Ross, Timmreck and Wyeth; Mesdames Balmer, Lepley, Messmer, Reed, Taylor
and Turner.
Dr. Perkinson called the joint meeting to order and welcomed Ms. Tammie Smith
of the Richmond Times-Dispatch. Dr. Trani expressed appreciation to the retiring
members of the Board of Visitors and the VCU Health System Board of Directors for
their years of service to the Boards.
The State of the University was presented. The report included an overview of
VCU's "Dream Team" consisting of Dr. John Fenn, Nobel Prize winner, Dr. Rao Ivatury
and the surgical team who pioneered the trauma surgical protocol that saved the lives of
last fall's sniper victim and NASCAR driver, Jerry Nadeau. Also included are Drs.
Richard Wenzel and Michael Edmond for leading the national debate on the volunteer
smallpox program and the SARS virus. Twenty of VCU's graduate programs have been
nationally ranked; ten programs on each campus and two number one rankings, the
Departments of Sculpture and Nurse Anesthesia. Updates were provided on Life
Sciences, the BioTechnology Research Park, freshman enrollment, progressive research
funding goals, continued pursuit of entrepreneurial and collaborative opportunities as
well as securing the VCU Health System.
The State of the VCU Health System was presented. The report detailed the
JCAHO results, an update of the Performance Improvement Plan, Financial Performance,
Capital Projects and Quality Initiatives for the VCUHS.
The VCU Health System Financial and Capital Plan Updates were presented for
information, as well as the status of construction projects on both campuses. The VCU
Health System should realize a $13.4 million profit by June 30, 2003. Capital projects
for this fiscal year total $47.5 million.
An update on Research at the University was presented. NIH and federal funding
appear to be on track to surpass last year's totals.

and seconded, the Board convened into closed session to
consider certain personnel matters involving the performance and salaries of specific
public officers, including certain personnel actions related to Virginia Commonwealth
University and the VCU Health System Authority, as authorized by Section 2.2-3711
A(1) of the Virginia Freedom of Information Act.
Following closed session, on motion made and seconded, the following
resolution was approved by roll call vote:
Virginia Commonwealth University hereby certifies that, to the best of each member's
knowledge, (i) only public business matters lawfully exempted from open meeting
requirements by Virginia law were discussed in the closed session meeting to which this
certification resolution applies, and (ii) only such public business matters as were
identified in the motion convening the closed session meeting were heard, discussed or
considered by the Board of Visitors of Virginia Commonwealth University.

On motion made and seconded, the Board of Directors of the Virginia
Commonwealth University Health System Authority approved personnel matters,
including the performance and salaries of specific public officials related to Virginia
Commonwealth University and the Virginia Commonwealth University Health System
Authority.
The meeting was adjourned at 8:35 p.m.
