A MEETING OF THE EXECUTIVE COMMITTEE OF THE
BOARD OF VISITORS OF
VIRGINIA COMMONWEALTH UNIVERSITY
December 15, 2000
A meeting of the Executive Committee of the Board of Visitors of Virginia
Commonwealth University was held on Thursday, December 15, 2000, at 7:30
a.m. in the University Meeting Center located at 101 North Harrison Street. The
full Board was invited to attend.
Present were Messrs. Flippen (Rector), Markel and Pyon; Drs. Long,
Perkinson and Smith; and Mrs. Benner. Mr. Weinberg was absent. Also present
were Drs. Trani and S. Price; Mr. Ross; and Mesdames Boston and Price.
On motion made and seconded, the Executive Committee convened into
closed session to discuss certain personnel matters involving the performance of
identifiable employees or faculty of VCU including a formal complaint that has
been filed against the President of VCU as authorized by Section 2.1-344 A(1) of
the Freedom of Information Act.
Following closed session, on motion made and seconded, the following
resolution was approved by roll call vote:
The Executive Committee of the Board of Visitors of Virginia Commonwealth
University hereby certifies that, to the best of each member's knowledge, (i) only
public business matters lawfully exempted from open meeting requirements by
Virginia law were discussed in the closed session meeting to which this
certification resolution applies, and (ii) only such public business matters as were
identified in the motion convening the closed session meeting were heard,
discussed or considered by the Executive Committee of the Board of Visitors of
Virginia Commonwealth University.

On motion made and seconded, the Executive Committee approved the
execution of the attached Resolution Agreement.
The meeting was adjourned at 10:20 a.m.

RESOLUTION AGREEMENT
In response to the formal complaint filed by Dr. Steven Price against VCU President
Eugene P. Trani, and in resolution of the issues raised therein, the Executive Committee of the Board of Visitors of Virginia Commonwealth University has agreed to
provide to Dr. Price assurance that he could bring directly to the Board of Visitors
through its Executive Committee any concerns or claims of retaliation or retribution
that he may have as a result of his having filed the formal complaint against Dr.
Trani. Specifically, the Executive Committee has assured Dr. Price of its availability
to hear or entertain any such concerns without the necessity of Dr. Price's utilizing
any internal University policies or procedures.
The Executive Committee and Dr. Price agree that this resolution will serve to bring
to closure the matter of Dr_ Price's formal complaint against President Trani and will
avoid the necessity of any further proceedings. The Executive Committee and Dr.
Price also agree to the release of the attached statement to the media or others.
